To learn more please visit about GGGI web page. The Green Coupon Subsidy Facility (GCSF), Pillar III of the Global Green Bond Initiative, will be managed by GGGI as Implementing Partner. Backed by an initial European Commission contribution of EUR 300 million and an additional envelope of up to EUR 193.625 million, the Facility will provide grants that reduce coupon costs for eligible green and sustainability bond issuers in low- and middle-income countries. The Senior Legal Counsel will form part of the Facility Management Unit and safeguard the legal integrity of the Facility’s governance, contracting, disbursement, compliance and close-out arrangements. POSITION SUMMARY Reporting to the Facility Manager, the Senior Legal Counsel will lead the day-to-day legal and contractual work of the GCSF. The role will develop and maintain the Facility’s grant documentation and legal procedures, advise transaction teams and governance committees, negotiate grant agreements with sovereign, sub-sovereign and corporate issuers, verify legal conditions before disbursement, and manage legal matters arising from compliance monitoring, amendments, waivers, suspension, termination, recovery and close-out. The Senior Legal Counsel will work closely with GGGI’s corporate legal and control functions and coordinate specialist external legal advice where required. PURPOSE Provide timely, independent and practical legal advice for a high-value, multi-jurisdictional grant facility linked to green and sustainability bond issuances. Translate the Contribution Agreement, GCSF governance arrangements and GGGI’s internal legal framework into enforceable transaction documents, procedures and controls. Identify and manage legal, contractual, integrity and enforceability risks while enabling the Facility to meet credible market issuance windows. Establish consistent legal precedents and documentation that support efficient implementation across the Facility’s transaction portfolio. ENGAGEMENT Advise the Facility Manager, Transaction Management Unit, Grants and Finance Senior Associate, and Monitoring, Results and Reporting Associate on legal and contractual matters throughout the grant lifecycle. Coordinate with GGGI’s legal, finance, procurement, integrity, risk, audit and records-management functions to ensure coherent advice and appropriate escalation of material issues. Engage directly with the European Commission, EU Delegations, prospective beneficiaries and their legal advisers to resolve legal questions and negotiate transaction-specific provisions. Provide legal input to the Screening Committee and Investment Committee, including proposed grant conditions, decision records, conflicts-of-interest arrangements and follow-up actions. Manage external counsel and specialist legal advisers where local-law, capital-markets or transaction complexity requires additional expertise. DELIVERY Develop, finalize and periodically update the master grant agreement, amendment and waiver instruments, notices, conditions-precedent checklists, committee documentation and supporting legal guidance. Conduct or coordinate legal due diligence on prospective beneficiaries, including their legal status, capacity, authority, ownership and control, signing powers, sanctions exposure, integrity concerns and other material legal risks. Review applications, bond frameworks, proposed issuance terms and supporting documentation to identify legal issues affecting eligibility, enforceability, disbursement and ongoing compliance. Draft and negotiate grant agreements addressing the approved bond and project pipeline, subsidy amount and schedule, reporting and verification requirements, audit and access rights, material-event notifications, amendments, suspension, termination, recovery, document retention, bank charges and foreign-exchange risk. Coordinate the legal review and validation of transaction documents with the European Commission, relevant EU Delegation and GGGI stakeholders before signature. Verify completion of legal formalities and conditions precedent before the first and subsequent grant disbursements, including execution authority, required legal opinions or certifications, and consistency of final issuance terms with approved conditions. Advise on beneficiary requests, amendments, waivers, material changes to approved transactions and the need for revised committee approval or contractual documentation. Assess suspected breaches, irregularities, fraud, corruption or other illegal activity and advise on notification, evidence preservation, payment withholding, remediation, suspension, termination and recovery in consultation with the European Commission. Support audits, verifications, spot checks, disputes and grant close-out by maintaining complete legal files and ensuring that rights, obligations and decisions are properly documented. Maintain legal risk, precedent, agreement and action registers and monitor transaction deadlines to support timely and consistent decision-making. Deliver practical training and guidance to Facility staff on grant contracting, legal risk, integrity requirements, confidentiality, data protection and conflicts of interest. Perform other duties within the scope of the position as assigned by the Facility Manager. REQUIREMENTS QUALIFICATIONS An advanced university degree in law is required, while a first-level university degree in law combined with two additional years of relevant professional experience may be accepted in lieu of the advanced degree. At least 7 years of progressively responsible post-qualification legal experience in international transactions, development finance, banking, capital markets, sovereign finance, grant management or a closely related field is required. Demonstrated experience drafting and negotiating complex cross-border funding, grant, financing or investment agreements and advising throughout their execution and implementation is required. Experience advising an international organization, multilateral development bank, public financial institution, government, major law firm or comparable institution is highly desirable. Experience with green or sustainability bonds, EU external-action funding, sovereign or sub-sovereign issuers, and legal work in low- and middle-income countries is an advantage. Written and spoken fluency in English is required, while proficiency in French, Spanish or another language relevant to GGGI’s operations is an advantage. Admission to the Bar in a national jurisdiction is an advantage. Manages multiple transactions and competing deadlines independently while maintaining accuracy, consistency and a complete audit trail. Recognizes precedent-setting or high-risk issues, escalates them promptly and manages specialist external advice efficiently. Communicates complex legal issues clearly to non-lawyers and provides concise, decision-ready recommendations. WORKING CONDITIONS The Senior Legal Counsel is an G9 grade level in GGGI's International Position Scale. Determination of base salary is subject to candidate's experience, academic background and internal equity. GGGI provides 15% of base salary towards retirement plan/long-term savings, 27 days of annual leave, and private health insurance that covers dental and vision with an expatriate benefit upon the eligibility of selected candidate.
