Job Description: Key Responsibilities 1. Legal Advisory & Business Support Provide timely, practical and risk-based legal advice to business leaders and functions across South America and Mexico. Prepare legal opinions and assess the legal impact of significant or complex business decisions, including matters where laws, regulations or facts are unclear, controversial or conflicting. Support country and business leaders in corporate, commercial, regulatory and governance matters, including their responsibilities as legal representatives of the organization. Advise on data protection, intellectual property and other legal matters relevant to regional operations. Maintain appropriate local corporate records and support sound entity governance. 2. Contracts, Tenders & Commercial Transactions Draft, review and negotiate a broad range of domestic and international agreements, including sales, procurement, services, distribution, agency, confidentiality, technology, contractor, lease and quarry-operation agreements. Advise internal stakeholders on contract strategy, allocation of risk and effective mitigation measures. Support private and public tender processes and strategic negotiations with customers, suppliers and business partners. 3. M&A and Strategic Projects Support joint ventures, acquisitions, divestments and corporate reorganizations, including legal due diligence, transaction documentation, negotiation and implementation. Participate in cross-functional projects from inception through completion, including new mining sites, plant construction, innovation initiatives, new products and implementation of new legislation. Coordinate external counsel when specialist or local support is required, ensuring quality, efficiency and cost control. 4. Compliance Advisory, Investigations Support, Training & Awareness - Approx. 30% Act as the regional liaison with Global Compliance across South America and Mexico and operate effectively within a matrix reporting structure. Serve as a trusted compliance advisor to employees and leaders, providing pragmatic guidance on the Code of Conduct, anti-corruption, conflicts of interest, third-party risks and related policies. Support the regional implementation and continuous improvement of global compliance policies, processes and controls. Contribute to third-party risk management, including review of higher-risk relationships, assessment of red flags and advice on appropriate mitigation measures. Conduct or support compliance reviews of regional operations to assess local risks, understanding of compliance requirements and implementation of relevant controls. Identify trends and lessons learned and recommend enhancements to the compliance program and ethical culture. Conduct or support selected internal investigations in coordination with Global Compliance, Human Resources and Legal, including case planning, interviews, evidence review, reporting and remediation where required. Support targeted compliance communications, awareness activities and training where these respond to identified regional risks or investigation trends. Assist with the regional roll-out and completion follow-up of global compliance learning campaigns, without making training administration the primary focus of the role. Promote a speak-up culture and reinforce consistent standards of integrity and ethical decision-making. 5. People and Stakeholder Management Build effective relationships with South America and Mexico leadership, the Americas Legal team, Global Compliance, Human Resources, Finance, Procurement, Internal Audit and other business functions. If applicable, lead, coach and develop team members, encouraging collaboration, accountability and professional growth. Manage relationships with external counsel, investigators, forensic specialists and authorities as appropriate. Required Experience and Qualifications Law degree and qualification to practice law in Brazil, with active registration with the Brazilian Bar Association (OAB). Typically, 5-8 years of relevant experience in an in-house legal role, international organization or reputable law firm, with meaningful exposure to corporate compliance matters. Demonstrated hands-on experience leading or materially supporting internal corporate investigations, including case planning, interviews, evidence assessment, reporting and remediation. Solid knowledge of corporate and commercial law, contract negotiation and the legal environment of the countries within scope. Working knowledge of corporate compliance programs, anti-corruption standards, third-party risk management and investigation principles. Experience working across countries, cultures and functions in a matrixed international environment. Professional proficiency in English and Portuguese. Spanish proficiency is strongly preferred. Work Location and Travel The role is based in Jundiaí/SP and follows a hybrid work model, with three days per week expected in the Jundiaí office. Availability to travel within Brazil and, as needed, across South America and Mexico is required, including visits to plants, operational sites and project locations. Regular presence may be required at Sibelco sites in Jaguaruna/SC, Balneário Barra do Sul/SC, Analândia/SP, Estância/SE and Belmonte/BA, as well as at future sites or locations connected to the company's growth plans.
