# Corporate Lawyer **Woodfields Consultants, Inc** · Quezon City · `On-site` 🕒 **Статус:** *Опубликовано: 3 дня назад* · *Источник: Indeed* --- ### About the Role The Corporate Lawyer provides legal counsel and support to the company across contract review and management, business negotiations, and general corporate legal matters. This role ensures that all contracts, agreements, and business transactions comply with applicable laws and adequately protect the company's interests, while also representing the company in meetings and negotiations with clients, partners, suppliers, and other stakeholders. 1. Contract Management Review, draft, and negotiate a wide range of contracts and legal documents, including service agreements, consultancy contracts, memoranda of agreement/understanding, non-disclosure agreements, and vendor/supplier contracts. Maintain an organized system of contract records, legal documents, and correspondence, including tracking of key dates such as renewals and expirations. Support the development and review of company policies, procedures, and standard contract templates to ensure legal soundness. 2. Negotiation & Business Support Represent the company in business meetings, client discussions, and contract negotiations, ensuring the company's legal position and interests are clearly articulated and protected. Provide timely, practical legal input during deal discussions to support sound and well-informed business decisions. 3. Legal Compliance & Risk Management Identify, assess, and advise management on legal risks arising from contracts and business transactions, and recommend appropriate mitigating measures. Monitor compliance with relevant Philippine laws, regulations, and industry standards, and update internal policies and templates accordingly. 4. Advisory & Stakeholder Relations Provide legal opinions and guidance to management and other departments on corporate, commercial, labor, and regulatory matters. Liaise with external counsel, regulatory agencies, and government offices as needed on corporate and contractual matters. 5. Dispute Resolution & Administrative Support Assist in the resolution of disputes, claims, and other legal issues involving the company, in coordination with HRAD and management. Perform other legal and administrative duties as may be assigned by management. Qualifications Member of the Philippine Bar, with a valid license to practice law. At least five (5) years of relevant legal experience, with a strong focus on contract review, drafting, and negotiation. Demonstrated experience representing an organization in business meetings and negotiations. Solid working knowledge of Philippine corporate, commercial, and labor laws. Excellent drafting, analytical, and negotiation skills, with strong attention to detail. Strong verbal and written communication skills, with the ability to explain legal concepts clearly to non-legal stakeholders. High level of professionalism, integrity, and sound judgment in handling confidential and sensitive matters. Ability to manage multiple contracts and priorities under tight timelines. Proficient in Microsoft Office and standard document management tools.
