About the Role To strengthen our team, we are looking for a Contracts & Governance Manager to manage commercial contracts and support corporate governance activities across multiple jurisdictions and group entities. The focus of this role is to ensure that corporate records, governance processes, and statutory obligations are maintained in a legally compliant, efficient, and consistent manner. The person in this role will support the business by developing and maintaining legally sound, compliant, and standardized contractual frameworks, as well as advising internal stakeholders on contractual, commercial, and governance-related matters. The Contracts & Governance Manager will report to the Head of Commercial Legal Affairs. Responsibilities - Develop, implement, and standardize contract templates, general terms and conditions, and other contractual documentation to improve efficiency and consistency. - Draft, review, negotiate, and maintain commercial contracts, ensuring accuracy, compliance, and effective execution. - Provide legal advice to management and internal divisions on contractual and business-related matters. - Act as a point of contact for internal stakeholders on commercial and customer contract-related topics. - Collaborate with departments such as Sales, , Customer Service, Product Management, Compliance, and Data - Protection on contract-related projects and initiatives. - Coordinate and manage corporate governance activities across group entities in multiple jurisdictions. - Monitor compliance with statutory filing obligations, corporate governance requirements, and applicable legal and regulatory standards. - Support the business with internal approval processes and other governance-related matters, including the governance aspects of acquisitions, reorganizations, and intercompany projects. - Organize and administer board meetings and shareholder meetings. - Draft board minutes, shareholder resolutions, director resolutions, and other corporate governance documentation. - Prepare and maintain corporate records, minute books, statutory registers, and other governance documentation in accordance with applicable legal and regulatory requirements. - Maintain authority matrices and signatory authorization frameworks, ensuring that they remain accurate, up to date, and aligned with applicable requirements. Who you are - Law degree or equivalent legal education, with strong expertise in software contract law, general contract law, and data protection law. - Proven experience in drafting, reviewing, negotiating, and managing complex commercial contracts. - Knowledge of corporate governance and company secretarial practices. - Strong communication, advisory, and negotiation skills. - Structured and methodical approach, with strong prioritization and organizational skills. - High level of responsibility, initiative, and problem-solving ability. - Customer-oriented mindset and a collaborative, team-focused approach. - Ability to work accurately and efficiently under time pressure. - Experience with contractdocument management systems, such as ELO, is an advantage. - Business-fluent English. Business-fluent German or Italian is an advantage.
